The Consultus International Group Limited (“Consultus”) has acquired specialist energy consultancy PEMXQ Limited (trading as “The Energy Architects” or “PEMXQ”) in a purchase led by Consultus CEO Andrew Staley. This follows the MBO of The Energy Brokers Limited (“TEBL”) and purchase of The Waterbuyers Limited last year. The terms of the transaction have not been disclosed.
Operating predominately in the UK, PEMXQ, founded by Malcolm Cooper in 2006, is a multidisciplinary energy business focused on consultancy, energy management, building services, procurement and utility connections. “PEMXQ’s expertise and services further extend the core TEBL and Group offerings,” said Andrew Staley. “Acquiring PEMXQ is part of our expansion and diversification plans, as the Board continues to take our business forward in line with a stated objective to move into areas including water, energy efficiency and greater international operations.”
Forum Capital International Limited (‘Forum’) supported the acquisition by advising on strategy, structuring the deal, raising the financing and assisting in the negotiations.
Stephen Scott, Managing Director of Forum, led the deal. “Our hands-on approach to acquisitions meant that we worked with Andrew every step of the way to support his vision for Consultus and create a bespoke deal structure.”
Consultus CEO Andrew Staley commented, “Our relationship with Forum began in 2012 and they have played a key role in developing and implementing our growth strategy. We are very pleased with our ongoing association. Forum’s analytical rigour and tenacity ensured that Consultus’s expansion and diversification plans were achieved.”
Clydesdale Bank supported the purchase with a new senior debt facility. The deal was also supported via the following parties: Bray & Bray Limited; DWF LLP and RSM UK Group LLP.
